ClutchTier is a pricing operating system that helps B2B SaaS companies optimize their pricing strategies. Our Service includes pricing analytics, recommendations, governance tools, and integrations with third-party billing providers.

3. User Accounts

When you create an account, you must provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or use automated means to access the Service without permission
  • Resell, sublicense, or redistribute the Service without authorization

5. Subscription and Billing

ClutchTier offers various subscription tiers. By subscribing to a paid plan:

  • You authorize us to charge your payment method on a recurring basis
  • Subscription fees are non-refundable except as required by law
  • You may cancel your subscription at any time, effective at the end of the billing period
  • We reserve the right to modify pricing with 30 days' notice

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ClutchTier and are protected by international copyright, trademark, and other intellectual property laws. You retain all rights to your data; we claim no ownership over customer data.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. You are responsible for ensuring you have appropriate rights to any data you upload to the Service.

8. Third-Party Integrations

The Service may integrate with third-party services (such as Stripe, HubSpot, etc.). Your use of these integrations is subject to the third party's terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

ClutchTier provides software-based pricing insights for business decision support. It does not provide financial, investment, legal, tax, or accounting advice. You are responsible for final decisions and should seek independent professional advice where needed.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUTCHTIER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ClutchTier and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data before termination; after termination, we may delete your data in accordance with our data retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
